The Ministry of Health had recommended, as a matter of good corporate governance to allow for periodic board rejuvenation and succession, that members of the Board should have a term limit of a maximum 8 consecutive years and re-election or re-appointment to the Board can be considered after a break of at least 1 year.

We have not adopted in full the recommendation of MOH. Our Article 28 (iii) provides that any director may serve a continuance term of not more than 8 consecutive years. The same person may be appointed as Director to the Board after a lapse of 1 year. However, the provisions of Article 28 (iii) shall not apply if the Director is the President of SBWS.

The reasons for this deviation are: -
1. BVH was founded by SBWS in realization of the dreams of late Venerable Yen Pei.
2. SBWS has been the core support for BVH since its foundation.
3. To ensure the continuance of this special relationship between BVH and SBWS, the 8 consecutive year term rule is not applied where the Board member is the President of SBWS.
